1. Introduction

Welcome to NiftyDesk™ ("Platform", "Service", "we", "us", or "our"), a product of Meridian Intelligence Pvt. Ltd., accessible at niftydesk.app. NiftyDesk is a market intelligence software-as-a-service platform that provides analytical tools, data visualizations, and informational content related to the NIFTY 50 index and the Indian equity derivatives market.

By accessing or using NiftyDesk, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not use the Platform.

2. Nature of Service

NiftyDesk is a technology platform that provides market data analytics and intelligence tools for informational and educational purposes only. The Platform is designed to help users analyze publicly available market data through proprietary analytical frameworks.

3. Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts under Indian law to use this Platform. By using NiftyDesk, you represent and warrant that you meet these eligibility requirements.

4. Account Registration

To access the Platform, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

5. Subscription and Pricing

NiftyDesk offers a 7-day free trial that does not require a credit card or payment information to activate. After the trial period, continued access to the Platform requires a paid subscription. Plans start at Rs 2,999 per month (inclusive of applicable taxes).

We reserve the right to modify our pricing at any time. Any changes to pricing will be communicated to existing subscribers at least 15 days before the change takes effect.

6. No Refund Policy

All payments made for subscriptions to NiftyDesk are final and non-refundable. Since we offer a 7-day free trial with no payment required, you have ample opportunity to evaluate the Platform before committing to a paid subscription. Once a subscription payment is processed, no refunds will be issued under any circumstances, including but not limited to dissatisfaction with the service, partial use of the subscription period, or failure to cancel before renewal.

7. Intellectual Property

All content on the Platform, including but not limited to analytical models, algorithms, data visualizations, interface designs, text, graphics, and software, is the proprietary property of NiftyDesk and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content from the Platform without our prior written consent.

8. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
• Reverse engineer, decompile, or disassemble any part of the Platform.
• Scrape, crawl, or use automated tools to extract data from the Platform.
• Share your account credentials with third parties or allow others to access the Platform through your account.
• Redistribute, resell, or commercially exploit the data, analytics, or content provided by the Platform.
• Interfere with or disrupt the integrity or performance of the Platform.

9. Data Accuracy and Limitations

While we strive to ensure the accuracy and timeliness of the data and analytics presented on NiftyDesk, we do not guarantee that the information is complete, accurate, current, or error-free. Market data may be delayed, and analytical outputs are based on models that may not reflect actual market conditions. You acknowledge that any reliance on the information provided by the Platform is at your own risk.

NiftyDesk sources data from third-party providers and public exchanges. We are not responsible for any inaccuracies, omissions, or delays in the data provided by these sources.

10. Derivatives Risk Acknowledgement

You acknowledge and understand that trading in equity derivatives, including futures and options on the NIFTY 50 index, carries a high degree of risk. The leveraged nature of derivative instruments means that losses can exceed your initial investment. Past performance of any analytical model or strategy is not indicative of future results. You should only trade with capital that you can afford to lose entirely.

11. Limitation of Liability

To the maximum extent permitted by applicable law, NiftyDesk, its founders, employees, affiliates, and service providers shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, trading losses, or any other financial loss arising out of or in connection with your use of the Platform.

In no event shall our total liability to you exceed the amount you have paid to NiftyDesk in the three months immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless NiftyDesk, its founders, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or in connection with your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform will cease immediately. Provisions of these Terms that by their nature should survive termination shall continue to apply.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.

15. Changes to These Terms

We may update these Terms of Service from time to time. We will notify you of any material changes by posting the updated terms on the Platform and updating the "Last updated" date. Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms.
